These Terms & Conditions (“Terms”) govern your access to and use of the InboundSage platform, websites, APIs, and related services (collectively, the “Service”), operated by Spectrum Enterprises, a sole proprietorship concern owned by Mrs. Shaila Bhavsar, having its registered office at Flat No. 1201, J Wing, ParkSyde Homes, Near Bali Mandir, Hanuman Nagar, Panchavati, Nashik, Maharashtra 422003, India (GSTIN 27BDXPB5801K2Z7) (“InboundSage”, “we”, “us”, “our”). By creating an account or using the Service, you (“you”, “Customer”) agree to these Terms.
1. Acceptance of Terms
By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you are authorised to bind that business.
2. Description of Service
InboundSage is a marketing-automation platform built on the official WhatsApp Business Platform. It enables businesses to capture leads, manage conversations through a shared inbox, create and send approved message templates, run broadcasts, and (as features are released) build automated sequences. The Service operates through your own WhatsApp Business Account(s) (“WABA”) connected via Meta’s official APIs.
3. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Acceptable Use
You agree not to use the Service to:
- send unsolicited messages (spam) or message recipients who have not opted in as required by Meta’s WhatsApp Business policies;
- transmit unlawful, fraudulent, defamatory, obscene, or infringing content;
- promote prohibited categories under Meta’s Commerce and Business policies (including but not limited to illegal drugs, weapons, adult content, and counterfeit goods);
- violate any applicable Indian law, Meta’s WhatsApp Business Terms, or third-party rights.
You are solely responsible for obtaining valid opt-in consent from your message recipients and for the content you send.
5. Intellectual Property
All rights, title, and interest in the Service, including software, design, and trademarks, remain with Spectrum Enterprises. You retain ownership of your data and content. You grant us a limited licence to process your data solely to provide the Service.
6. Fees, Subscriptions & Payment
- Subscription fees are charged in Indian Rupees (₹) as displayed on our Pricing page, plus applicable GST.
- Paid plans renew automatically at the end of each billing period unless cancelled.
- Meta’s WhatsApp conversation and messaging charges are billed separately by Meta directly to your account and are not included in our subscription fees.
- If a payment fails, we will retry and notify you. Access may be suspended after a grace period of seven (7) days from the failed payment date.
- Payments are processed by our payment partner, Razorpay. We do not store your full card or bank details.
7. Cancellation & Refunds
You may cancel your subscription at any time from your dashboard; cancellation takes effect at the end of the current billing period. Refund eligibility is governed by our Refund Policy and Cancellation Policy.
8. Account Suspension & Termination
We may suspend or terminate your account if you breach these Terms, engage in prohibited use, fail to pay fees, or if required by Meta or applicable law. Upon termination, your right to use the Service ceases; data handling on termination is described in our Privacy Policy.
9. Disclaimers
The Service is provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation. WhatsApp messaging availability, deliverability, and template approval are controlled by Meta and are outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, Spectrum Enterprises shall not be liable for indirect, incidental, or consequential damages. Our total aggregate liability for any claim shall not exceed the fees you paid to us in the three (3) months preceding the claim.
11. Indemnity
You agree to indemnify Spectrum Enterprises against claims arising from your content, your use of the Service, or your breach of these Terms or Meta’s policies.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app. Continued use after changes constitutes acceptance.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of India. The courts at Nashik, Maharashtra, India shall have exclusive jurisdiction over any disputes.
